Pilot terms.

These terms cover invited business use of Valuation Studio. They do not start a paid subscription.

Who you are agreeing with

Valuation Studio is supplied by The Upgrade Authority Ltd, registered in England and Wales under company number 13983241, at Henleaze House Business Centre, 13 Harbury Road, Henleaze, Bristol, England, BS9 4PN. References to we, us and our mean that company. You means the business accepting these terms. The person accepting them must be authorised to act for that business. The pilot is for business use by adults, not personal consumer purchases.

The pilot and any later subscription

The pilot lets invited businesses evaluate branded property reports, hosted pages, website embeds, the assistant and the owner workspace. Access is discretionary and may be limited to the features and usage made available in your account. No fee is charged under these pilot terms, no payment card is required and the pilot does not automatically convert to a paid subscription. A proposed price is not an order. A paid service requires a separate order showing the price, VAT treatment, billing period, allowances, renewal and cancellation terms before you accept it.

You can stop using the pilot at any time and ask us to close your Studio account. We may end the pilot on reasonable notice, normally at least 14 days, or immediately where continuing access presents a security, legal or material misuse risk. We will explain a restriction where doing so is lawful and safe. Ending Studio does not by itself delete a login shared with another Upgraded product.

What the reports mean

Reports contain market evidence with a stated geography, date, source and method. Area averages are not individual property valuations. Advertised nightly prices do not establish booked revenue or occupancy. Annual income scenarios depend on assumptions and exclude the costs stated in the report. Evidence can be incomplete, revised or temporarily unavailable. The assistant can make mistakes and is not a qualified surveyor, financial adviser or legal adviser.

You must preserve the source, date, coverage and limitation notices when showing or sharing reports. Your branding may replace optional product attribution, but it must not remove evidence qualifications or misrepresent the output as a survey, mortgage valuation, guaranteed sale price or guaranteed income. You remain responsible for property assessments, advice, advertising claims and decisions made by your business. The service does not promise a number of leads, appraisals, instructions or financial returns.

Your customers and your website

You are responsible for the accuracy and lawful use of your business details, branding, website, privacy notice and content. Use the tool only on websites you control or have permission to configure. Keep your account secure and notify us promptly if access may be compromised. You decide whether and how to follow up an enquiry. A request about a property is not permission to send unrelated marketing. You must respect the visitor’s recorded choices and the rules applying to your calls, emails and advertising.

Do not submit payment card data, identity documents, passwords, sensitive personal information or information about criminal convictions through a valuation form or conversation. Do not use the service for unlawful discrimination, harassment, misleading property claims, scraping, resale of the underlying database, circumventing limits or attempts to access another customer’s information. We may investigate and restrict abusive use.

Customer data and support access

Your business controls its visitor enquiries and conversations. We process that information under the data processing agreement included with these terms. We process our own account, security and commercial records as described in the Studio privacy notice. Authorised staff may access a Studio when needed to investigate an issue, provide support or protect the service. Support access is limited in duration, requires a reason and records actions. It does not transfer the customer’s login to a member of staff.

Ownership and permitted use

You keep your rights in your branding and customer content. You give us permission to host, display and process it to provide and protect the service. We and our licensors keep the software, methods, interface and database rights. You may use the reports generated through your Studio for your own customer conversations and property business, subject to their evidence notices and any stated source restrictions. You may not resell the underlying evidence feed or imply endorsement by a source publisher.

Availability and responsibility

We will use reasonable care and skill in providing the pilot. As an evaluation service, it may change, have interruptions or lack features offered in a later paid product. Keep your own copy of information important to your business and do not use the pilot as your only enquiry or record system. We will take reasonable steps to address reported faults, but no response time or availability service level is promised under the pilot.

Neither party excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or liability that the law does not allow to be excluded or limited. Subject to that, neither party is liable to the other for indirect or consequential loss, loss of anticipated profits or business opportunities arising from the pilot. Each party’s total liability under the pilot terms is limited to £1,000, except that this cap does not limit a party’s liability to an individual under data protection law or its responsibility to comply with that law. Any limitation applies only to the extent it is lawful and reasonable in the circumstances.

Ending access and resolving problems

Before closing your Studio, export the enquiries you need to retain. You may ask us to return or delete customer data as set out in the data processing agreement. We may retain limited records needed for security, legal obligations or claims, and will explain the basis where relevant. Contact us first about a service or billing concern so that we can investigate it. These terms are governed by the law of England and Wales, and its courts have jurisdiction.

We may update the pilot terms to reflect a service or legal change. We will make the revised version available and seek fresh acceptance when a material change affects the agreement. The version accepted during setup is recorded with the date of acceptance. A separate written order agreed by both parties takes priority where it expressly changes these terms.
